Pawborough Terms of Service

1. Introduction and Acceptance

Welcome to Pawborough. These Terms of Service ("Terms") are a legal agreement between you and Pawborough, Inc. ("Pawborough," "we," "us," or "our") and govern your access to and use of the Pawborough mobile app, our website at www.pawborough.ca, and the services we provide through them (together, the "Service").
 

By creating an account, or by accessing or using the Service, you agree to these Terms and to our Privacy Policy and Refund & Cancellation Policy, which are incorporated into these Terms by reference. If you do not agree, do not use the Service.
 

2. Who Can Use Pawborough

To use the Service, you must:

  • Be at least 18 years old and the age of majority in your province or territory. 18, the age of majority in Ontario; the Service involves payments and binding bookings];

  • Be able to enter into a legally binding contract; and

  • Provide accurate registration information and keep it up to date.

You may use the Service only for lawful purposes and in line with these Terms.
 

3. Key Terms

  • Pet Parent ("PP") — a user who requests pet care services through the Service.

  • Pet Care Provider ("PCP") — an independent user who offers and provides pet care services to Pet Parents through the Service.

  • Booking — a request for and, once accepted and paid, an agreement for a pet care visit arranged through the Service, whether made as a direct booking (to a specific PCP) or an open request (broadcast to nearby PCPs).

  • Content — information, text, photos, messages, reviews, and other material submitted through the Service.
     

4. The Nature of Pawborough (Please Read Carefully)

Pawborough is a marketplace and technology platform that connects Pet Parents with independent Pet Care Providers. Pawborough does not itself provide pet care services.

  • Pet Care Providers are independent users, not employees, agents, partners, or representatives of Pawborough. Pawborough does not direct, supervise, or control how a PCP performs a service.

  • When a Pet Parent and a Pet Care Provider agree to a Booking, they form a direct agreement between themselves. Pawborough is not a party to that agreement. Our role is to facilitate the connection, process payment, and provide supporting tools.

  • Pawborough does not guarantee the availability, quality, safety, timing, legality, or outcome of any pet care service, or the conduct, honesty, or suitability of any user.

  • You are solely responsible for your own decisions about whom to book, whom to accept, and whether a given arrangement is right for you and your pet.
     

5. Accounts and Security

You are responsible for the activity that happens under your account. You agree to:

  • Keep your login credentials confidential and not share your account;

  • Notify us promptly of any unauthorized use or security concern; and

  • Maintain only one account unless we expressly permit otherwise.

Pawborough will never ask you for your password. We may ask you to verify your identity, but any message asking you to reveal your password or account credentials is not from us and should be reported.

We may refuse, suspend, or terminate accounts as described in Section 19.
 

6. Bookings

Bookings can be made as direct bookings to a chosen PCP or as open requests broadcast to nearby PCPs.

  • For both types, the Pet Parent pays at the time the booking is submitted. For open requests, payment is taken when the request is submitted; the first PCP to accept is assigned to the already-paid Booking, and the Booking is then confirmed.

  • A Booking is confirmed when a PCP accepts it (for direct bookings and open requests alike) and payment has been processed.

  • Accepting or providing a Booking is a commitment. Backing out after acceptance is treated as a cancellation and is governed by the Refund & Cancellation Policy.
     

7. Fees, Payments, and Payouts

  • Service fees are shown to the Pet Parent in the app before a Booking is submitted. Prices, tiers, and any additional charges (such as an urgent-visit surcharge, weather-related upcharge, or access-issue trip fee) are displayed at the time of booking and described further in the Refund & Cancellation Policy.

  • Platform fee. Pawborough charges a platform fee (currently a percentage of the service price) for use of the Service. This fee is reflected in the amounts shown at booking and payout.

  • Tips are optional, collected only after a visit is completed, and paid to the PCP.

  • Payment processing. Payments and PCP payouts are processed by Stripe through Stripe Connect. By using the Service, you agree to Stripe's applicable terms. Pawborough does not store full payment card numbers.

  • PCP payouts. Pet Care Providers receive their share of the service price (net of the platform fee) through Stripe, subject to Stripe's payout timing and requirements, and subject to any holds we apply for fraud prevention or dispute resolution.

  • Taxes. Each user is responsible for determining and meeting their own tax obligations. Pet Care Providers are responsible for reporting and remitting any taxes owed on their earnings.
     

8. Cancellations and Refunds

Cancellations, refunds, no-shows, failed visits, and related charges are governed by the Refund & Cancellation Policy, which forms part of these Terms. Please read it carefully, as it explains when a Pet Parent is or is not refunded and how a Pet Care Provider is compensated in different situations.
 

9. Pet Care Provider Obligations

If you use the Service as a PCP, you represent and agree that you:

  • Are operating as an independent provider, responsible for your own conduct, decisions, taxes, and any licences, permits, or insurance that apply to you;

  • Will provide services with reasonable care, skill, and honesty, and only for the species and services you are competent and willing to handle;

  • Will show up for accepted Bookings on time, or cancel promptly and honestly when you genuinely cannot;

  • Will follow the Pet Parent's reasonable instructions and respect their home and property;

  • Will not solicit or accept payment for Pawborough-arranged services outside the Service (see Section 11); and

  • Will report access issues, no-shows, and safety concerns honestly through the app.
     

10. Pet Parent Obligations

If you use the Service as a PP, you represent and agree that you:

  • Will provide accurate and complete information about your pet, including any history of aggression, health conditions, or special needs that could affect the safety of a visit;

  • Will provide accurate access instructions and a reasonably safe environment for the PCP;

  • Will disclose known hazards at the property;

  • Will be reachable as needed around the time of the visit; and

  • Are responsible for your pet's behaviour and for any harm your pet causes.
     

11. Off-Platform Transactions

The Service is funded by platform fees. To keep the Service running and to preserve the protections it provides (payment records, the visit-verification system, and dispute support), you agree not to arrange or complete payment for Pawborough-introduced pet care services outside of the Service in order to avoid fees. Repeated circumvention may result in suspension or termination.
 

12. Verification, Vetting, and Safety

Your safety and your pet's safety matter to us, and we build safety features into the Service. However, you must understand the limits of what we do:

  • Pawborough may perform limited verification of users, email/phone verification, Stripe identity verification for payouts, and a background criminal-record check is performed. We do not conduct comprehensive background checks unless expressly stated, and we do not guarantee the identity, trustworthiness, or suitability of any user.

  • Visit-start verification (PIN). Bookings use a visit-start PIN to help confirm that a visit is genuinely beginning with the Pet Parent's authorization. You agree to use this feature honestly and not to share, misuse, or attempt to bypass it. Its purpose is to reduce fraud; it is a safeguard, not a guarantee.

  • You are responsible for your own judgment. Meeting people and allowing them into your home, or entering someone else's home, carries inherent risk. Use common sense, trust your instincts, and take reasonable precautions.

  • Emergencies involving immediate danger to a person or animal should be directed to local emergency services, not to Pawborough.
     

13. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose;

  • Provide false information, impersonate others, or create accounts to evade suspension (multi-accounting);

  • Harass, threaten, abuse, or discriminate against any user;

  • Post content that is illegal, deceptive, infringing, or harmful;

  • Interfere with, scrape, reverse-engineer, or disrupt the Service or its security;

  • Use the Service to facilitate any activity that endangers a person or animal; or

  • Attempt to circumvent payment, fees, or safety features.

We may investigate and take action, including logging security-relevant events, restricting features, or suspending or terminating accounts.
 

14. Disclaimers

Except where the law does not allow it, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Pawborough does not warrant that the Service will be uninterrupted, error-free, or secure, or that any user, Booking, or pet care service will meet your expectations. Any dealing between a Pet Parent and a Pet Care Provider is between those users; Pawborough is not responsible for their acts or omissions.

Nothing in these Terms limits any rights you have that cannot be limited under applicable law, including the Ontario Consumer Protection Act, 2002 and other consumer-protection laws that may apply to you.
 

15. Limitation of Liability

To the fullest extent permitted by law:

  • Pawborough is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or relating to the Service or these Terms.

  • Pawborough is not liable for the conduct of any user, including any harm to persons, pets, or property arising from a Booking or from any interaction between users.

  • Pawborough's total aggregate liability for any claim relating to the Service is limited to the situation at hand or a stated cap, e.g. the greater of the total fees you paid to Pawborough in the [3/6/12] months before the event giving rise to the claim, or CAD $[amount]].
     

These limits do not apply to liability that cannot be excluded or limited under applicable law. 
 

16. Indemnification

You agree to indemnify and hold harmless Pawborough and its officers, directors, and employees from claims, damages, losses, and reasonable legal costs arising out of your use of the Service, your Bookings or pet care services, your Content, or your breach of these Terms or of applicable law — except to the extent the claim results from Pawborough's own wrongful act, and except where such indemnification is not permitted by law.
 

17. Content, Messaging, and Reviews

  • Your Content. You retain ownership of Content you submit, and you grant Pawborough a non-exclusive, royalty-free licence to host, use, and display it as needed to operate and improve the Service.

  • Messaging. In-app messaging is provided to coordinate Bookings. Keep it respectful and relevant; do not use it for harassment, spam, or to move a transaction off-platform.

  • Reviews. Reviews and ratings must be honest and based on real experiences. We may remove Content that violates these Terms.
     

18. Disputes

  • Disputes between users. Disputes about a specific pet care service are primarily between the Pet Parent and the Pet Care Provider. Pawborough may, at its discretion, help facilitate a resolution and apply the Refund & Cancellation Policy, but is not obligated to resolve disputes between users.

  • Disputes with Pawborough. Before starting formal proceedings, please contact us so we can try to resolve the issue directly.

  • Governing law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.

  • Payment disputes/chargebacks are addressed in the Refund & Cancellation Policy; please contact us before initiating a chargeback.
     

19. Suspension and Termination

  • You may stop using the Service and close your account at any time.

  • We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or fraud, misuse safety features, engage in repeated cancellations [as described in the Refund & Cancellation Policy], or as reasonably necessary to protect users or the Service.

  • Certain provisions survive termination, including Sections 7 (for amounts owed), 14, 15, 16, and 18.
     

20. Intellectual Property

The Service, including its software, design, branding, and content created by Pawborough, is owned by Pawborough or its licensors and is protected by law. We grant you a limited, personal, non-transferable, revocable licence to use the Service under these Terms. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted.
 

21. Third-Party Services and App Stores

The Service relies on third parties, including Stripe, Apple, Google, and Expo. Your use of those services is subject to their own terms, and Pawborough is not responsible for them.

If you download the app from the Apple App Store or Google Play:

  • You agree to comply with the app store's applicable terms.

  • These Terms are between you and Pawborough only, not the app store. The app store is not responsible for the app or its content.

  • Apple (where applicable) is a third-party beneficiary of these Terms and may enforce them, and Apple is not responsible for the app, its maintenance and support, warranties, product or intellectual-property claims, or legal compliance. 
     

22. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, in-app) before they take effect. Your continued use of the Service after changes take effect means you accept the updated Terms.
 

23. General

  • Entire agreement. These Terms, together with the Privacy Policy and Refund & Cancellation Policy, are the entire agreement between you and Pawborough regarding the Service.

  • Severability. If any part of these Terms is found unenforceable, the rest remains in effect.

  • No waiver. Our failure to enforce a provision is not a waiver of it.

  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

  • Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control.

  • Notices. We may provide notices through the Service or by email.
